Nomination and appointment of HCSA Trustees
  Dear HCSA Member You will be aware that the Health Care Supply Association (HCSA) became a Charitable Incorporated Organisation (CIO) in November 2016 and as we approach the end of its first year, in accordance with the terms of the Constitution, we need to appoint Trustees ready to serve for the new term. The Constitution stipulates that at its first Annual General Meeting (AGM) all current Trustees will retire. If they wish to serve a further term, they should seek nomination for re-appointment. It is understood that they are all planning to seek nomination. The current Trustees are:
  • Mark Roscrow (Chairman of Trustees)
  • Ian Turner
  • Professor Duncan Eaton
  • Nevin Stewart
  • Eugene Cooke
  • Clive Hamblin
In the meantime the Board would be pleased to consider additional suitable nominations from members who are interested, committed and possess appropriate qualities. The Role of Trustees Trustees have independent control over, and legal responsibility for the HCSA’s management and administration and to ensure it meets its objectives and responsibilities consistent with commitments given to the Charity Commission. The Trustees are also there to provide guidance to the HCSA Executive, and hold it to account for its delegated responsibility for day to day operation and management. In summary Trustees are there to ensure the HCSA CIO is:
  • Carrying out its purpose for the public benefit
  • Complying with the Charity’s governing document (its Constitution)
  • Manging its resources responsibly
Trustees will be expected to give enough time and energy in discharging their duties and attending all Trustees meetings. Eligibility to become a Trustee
  • Membership

Trustees must be members of the HCSA

  • Disqualification
You must not act as a Trustee if you are disqualified under the Charities Act. This includes if you:
  • are disqualified as a company director
  • have an unspent conviction for an offence involving dishonesty or deception (such as fraud)
  • are an undischarged bankrupt (or subject to sequestration in Scotland), or have a current composition or arrangement including an individual voluntary arrangement (IVA) with your creditors
  • have been removed as a trustee of any charity by the commission (or the court) because of misconduct or mismanagement
Interested in becoming a Trustee? If you are interested in becoming a new HCSA Trustee then you will need to complete the Trustee’s nomination form which requires you to provide a statement in support of your nomination. You will need to make it clear why you wish to become a Trustee, what knowledge, skills and experience you would bring to the Charity in helping it operate and develop. Your nomination must be proposed and seconded by HCSA members. If you are planning to email return your nomination form, we will require this to be attached as a scan of the original with signatures inserted. Nominations must be submitted by not later than Friday 27 October 2017. Nominations will be considered by the Board in the first instance and all suitable nominations will be put before HCSA members. Members will express their preferences through a ballot and the results will be announced at the AGM. Clearly if there are more suitable nominations than Trustee places then decisions will be determined by the number of votes cast. A maximum of twelve Trustees may be appointed. This year’s AGM will be held at the Harrogate Convention Centre on 29 November 2017.   Alan Hoskins MCIPS Chief officer, HCSA
